The Role and Scope of the Notary Public

The Notary Public, under Dubai Law No. (4) of 2013 Concerning the Notary Public in the Emirate of Dubai, is an official responsible for notarising documents and certifying signatures — after verifying the identity, legal capacity, and authority of the parties concerned, reading them the content of the document, and confirming their consent. In this role the Notary Public is an authority of proof, not of creation: it confers official status and a fixed date on the document, but does not create the right nor remedy defects in its drafting.

Since November 2024, the General Notary Public services in Dubai have been transferred to the Private Notary Public — a licensed lawyer or office authorised by Dubai Courts to exercise these functions under its supervision — and the document it issues carries the same legal force as an officially notarised instrument. Alongside this runs the Smart Notary Public system, which allows most Notary Public Services to be completed remotely by anyone holding a valid Emirates ID.

The practical consequence of all this is that the Notary Public certifies what is presented to it or refuses — it does not intervene in the substance. Anyone who wants a document accepted first time must have its drafting and its signatories’ authority in order before approaching the Notary Public.

First: Powers of Attorney

A Power of Attorney is a contract by which the principal places another person in their position for a specific, defined legal act — as established in civil law jurisprudence, including the analysis set out by Al-Sanhouri in Al-Waseet. It is settled that a General Power of Attorney confers only acts of administration, while disposal acts such as sale, mortgage, acknowledgement of debt, and settlement require a Special Power of Attorney that identifies the act with sufficient precision to exclude ambiguity. Dubai’s Notary Public works within this distinction: it will not certify a blanket formulation covering everything, but only a POA of an approved type — general POA, real estate POA (general or special), vehicle POA, litigation POA, company formation or management POA.

Our role here is to classify the purpose, select the appropriate type, and draft the clauses to satisfy the authority where the POA will be presented — whether Dubai Land Department, Roads and Transport Authority, a court, or a bank — because what the Notary Public accepts may not be enough for these authorities if the scope of authority is left unclear.

Second: POA Revocation

The default position under civil law principles is that the principal may remove their agent or restrict the POA at any time, unless the POA was granted in the agent’s interest or a third party’s right has attached to it. The removal, however, is not enforceable against the agent until the agent has knowledge of it, nor against third parties until they have knowledge. This means notarising the revocation alone is not enough — a Legal Notice must be served on the agent and the date of their knowledge established; otherwise their acts remain binding on the principal against anyone who dealt with them in good faith.

Third: Meeting Minutes & Partners’ Resolutions

A resolution of the General Assembly or the Board of Managers is a document required by banks, Economic Departments, and execution courts — and it is not accepted unless it was issued by those who hold the quorum to issue it under the Memorandum of Association. The Notary Public cross-references the names of the signatories against the trade licence, the MOA, and its latest amendment: if an absent partner’s signature is required under the MOA, or the quorum is not met, it will decline to certify. This is why we begin by reading the MOA before we write a single line of the resolution.

Fourth: Memoranda of Association and Amendments

Article 14 of Federal Decree-Law No. (32) of 2021 on Commercial Companies requires that a company’s constitutive document and every amendment to it be in Arabic and notarised before the competent authority, on pain of nullity. Notarisation of the MOA, share sales, partner entry and exit, and dissolution is therefore a validity condition, not a mere administrative step. Some of these documents require the prior approval of the Economic Department or the free zone authority before notarisation — not after — and anyone who gets the sequence wrong pays the fee twice.

Fifth: Certified True Copies

Notarised documents have originals kept on file with the Notary Public, and the parties may obtain an official certified copy when the original is lost or when another authority requires an authenticated copy. This service is available from Dubai Courts and from the Ministry of Justice, each for their own documents.

Sixth: Legal Notice

A Legal Notice is the instrument through which formal notice is established — a prerequisite under civil law principles for liability for delay and for the right to claim compensation. A notice that is issued but not served is as if it never existed from a legal-effect standpoint. It is used in financial claims, eviction and tenancy notices, contract termination, POA revocations, and partner notices. We do not consider the task complete when the notice is issued — only when it is served.

The fees for Notary Public Services in Dubai are set under Executive Council Resolution No. (4) of 2014. These are fixed, published government fees that the Private Notary Public may not exceed; the Private Notary Public charges its professional fees alongside them. Required Documents for Notary Public Services

The Notary Public verifies three things: the signatory’s identity, their status, and their authority. Required documents follow from this.

For individuals: A valid Emirates ID is a necessary condition for remote transactions; a passport alone is sufficient for those appearing in person. You will also need the document to be notarised or the information required to draft it; proof of authority if the signatory is acting on behalf of another party under a POA, guardianship, or court order; and the subject-specific documents — a title deed for a real estate POA, vehicle registration for a vehicle POA, a case number for a litigation POA.

For companies: A valid trade licence, the Memorandum of Association and its latest amendment, the Emirates ID and passport of every signatory, a partners’ or board resolution if the signatory’s authority is not explicit in the MOA, the document to be notarised, and any Economic Department or free zone approval required by the transaction.

Completing Notary Public Services Online

Dubai Courts’ Smart Notary Public system allows POAs, declarations, legal notices, meeting minutes, and contracts to be completed remotely — provided every signatory holds a valid Emirates ID through which identity verification and electronic signing are carried out. Those with only a passport — such as a visitor or an investor based abroad — must appear in person before a Private Notary Public; this can be arranged on the day of their arrival.

Certain company transactions that require originals to be presented, and transactions whose translation or authentication is not yet complete, are also excluded from remote completion.

If you are outside the UAE, do not travel before consulting us — many situations can be resolved through digital ID or through a locally authorised representative.

Documents Issued Outside the UAE

A foreign document — Board resolution, company registration certificate, or POA issued abroad — is not accepted in Dubai Notary Public Services without completing the full authentication chain: the competent authority in the country of issue, then the UAE diplomatic mission there, then the UAE Ministry of Foreign Affairs, and finally a certified legal translation into Arabic. The sequence here is essential: the document is authenticated first and then translated — never the reverse. The UAE is not a party to the Hague Apostille Convention, so an apostille does not replace consular attestation.

Typical Timelines for Notary Public Services

The following timelines are from practical experience and do not represent a commitment by the authority. An individual POA with a valid Emirates ID is completed electronically the same day or within one business day, as is a POA or declaration in person before a Private Notary Public. A Legal Notice is issued the same day to one business day, but its service on the recipient may take two days to two weeks depending on availability for service. Meeting Minutes or a Partners’ Resolution take one to two business days. A Memorandum of Association or amendment takes two to five business days depending on Economic Department approvals. If the transaction includes a foreign document requiring authentication and translation, add three to ten business days before submission.

Common Reasons a Transaction Is Rejected
